These Terms and Conditions (“Terms”) govern the access to and use of www.khoraia.com, the Khoraia website, the B2B member area and any related online services provided by Dreampick di Frosi Nicole, trading under the brand Khoraia (“Khoraia”, “we”, “us” or “our”).

By accessing the website, creating an account, submitting a request or placing a B2B order request, you agree to these Terms and Conditions.

If you do not agree to these Terms, please do not use the website or member area.

Khoraia is a jewelry and fashion accessories brand website.

The website is mainly used to:

  • showcase Khoraia products;

  • provide information about the brand;

  • receive business inquiries;

  • manage B2B retailer, distributor or partner requests;

  • allow approved business users to access a member area and submit B2B order requests.

The website does not provide a direct consumer online checkout.

Payments are handled outside the website, for example by:

  • bank transfer;

  • payment on delivery;

  • other payment methods agreed directly between Khoraia and the business customer.

3. B2B Use Only for Member Area and Orders

The member area and order request features are intended for professional users, retailers, distributors, shops and business partners.

By creating or using a member account, you confirm that:

  • you are acting for business or professional purposes;

  • you are authorized to represent the company or business on whose behalf you submit information;

  • all information provided is accurate, complete and up to date;

  • you will keep your account credentials confidential.

Khoraia may approve, reject, suspend or terminate access to the member area at its discretion, especially in case of:

  • misuse;

  • inaccurate information;

  • inactivity;

  • breach of these Terms;

  • security concerns.

4. Account Registration, CMS Storage and Security

To access certain features, you may need to create a member account using an email address and password.

Information submitted through the member area, B2B forms or order/request features may be stored and managed through Wix CMS collections.

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • all activity carried out through your account;

  • promptly notifying us of any unauthorized access or security issue;

  • ensuring that your account information remains accurate and updated;

  • ensuring that any information submitted through your account is accurate, complete and lawful.

You must not submit:

  • sensitive personal data;

  • payment card details;

  • identification documents;

  • information relating to third parties unless strictly necessary and authorized.

Khoraia is not responsible for losses caused by unauthorized use of your account where such use results from your failure to protect your credentials.

5. Product Information

We make reasonable efforts to display product descriptions, images, colors, sizes, materials and availability accurately.

However:

  • product images may differ slightly from actual products due to screen settings, photography, lighting or artisanal variations;

  • handmade or semi-handmade items may present small variations;

  • availability may change without notice;

  • product descriptions may be updated or corrected at any time.

Product information, images, categories, availability indications and other catalogue content may be managed through Wix CMS and dynamic pages.

We may update, correct, remove or modify such content at any time, including in case of:

  • errors;

  • outdated information;

  • changes in product availability.

The publication of products on the website does not guarantee availability or constitute a binding offer to sell.

6. B2B Order Requests

Orders submitted through the member area or through other website forms are B2B order requests.

Unless expressly confirmed in writing by Khoraia:

  • the submission of an order request does not automatically create a binding sales contract;

  • product availability, quantities, prices, delivery terms and payment terms may require confirmation;

  • Khoraia may accept, reject or modify an order request based on availability, business requirements, minimum order quantities, delivery restrictions or other reasonable grounds.

A binding order is formed only when Khoraia confirms the order in writing or begins performance of the order, unless otherwise agreed.

7. Prices, Taxes and Payment

Prices, if displayed or communicated, may be subject to change and may exclude:

  • VAT;

  • taxes;

  • shipping;

  • customs duties;

  • import charges;

  • other applicable costs,

unless expressly stated otherwise.

Payment is not processed directly through the website.

Payment terms may include, depending on the agreement:

  • bank transfer;

  • payment on delivery;

  • other payment methods agreed directly with Khoraia.

The customer is responsible for paying all agreed amounts within the agreed deadline.

For international customers, the customer is responsible for any applicable:

  • import duties;

  • customs charges;

  • taxes;

  • local regulatory requirements,

unless otherwise agreed in writing.

8. Delivery and Shipping

Delivery terms, shipping method, timing, costs and risk transfer will be agreed between Khoraia and the business customer.

Estimated delivery dates are not guaranteed unless expressly confirmed in writing.

Khoraia is not responsible for delays caused by:

  • customs;

  • carriers;

  • force majeure events;

  • incomplete addresses;

  • incorrect customer information;

  • events outside our reasonable control.

9. Inspection, Defects and Complaints

Business customers must inspect products upon delivery and notify Khoraia of any visible damage, missing items or defects within a reasonable period, and in any case within 14 days from delivery, unless mandatory law provides otherwise.

Complaints should include:

  • order reference;

  • description of the issue;

  • photos or evidence where relevant;

  • contact details.

Returns, replacements, credits or refunds are subject to Khoraia’s confirmation and to the specific commercial agreement between the parties.

10. No Consumer Right of Withdrawal for B2B Orders

The member area and order request features are intended for business customers acting for professional purposes.

Consumer withdrawal rights applicable to consumer distance contracts do not apply to B2B orders, unless mandatory law provides otherwise or Khoraia expressly agrees in writing.

If Khoraia ever allows direct consumer purchases in the future, specific consumer terms will be published.

11. Acceptable Use

You agree not to:

  • use the website unlawfully or fraudulently;

  • attempt to access accounts, systems or data without authorization;

  • interfere with website security or operation;

  • copy, scrape, reproduce or extract website content without permission;

  • upload malicious code or harmful content;

  • submit false, misleading, offensive or unlawful information;

  • use the member area for non-business purposes without authorization;

  • attempt to access CMS data, member data or order data that does not belong to you or that you are not authorized to access.

Khoraia may suspend or restrict access where it reasonably believes that these Terms and Conditions have been breached.

12. Intellectual Property

All content on the website, including images, photographs, product designs, text, graphics, logos, trademarks, layouts, catalogue content and brand materials, belongs to Khoraia or its licensors, unless otherwise stated.

You may not copy, reproduce, distribute, modify, publish, sell or exploit any website content without prior written permission.

Approved B2B partners may use certain brand or product materials only where expressly authorized by Khoraia and only in accordance with any brand guidelines or commercial agreement provided.

13. Third-Party Services and Links

The website may use or link to third-party services, including Wix and other technical providers.

Third-party websites and services are governed by their own terms and privacy policies.

Khoraia is not responsible for third-party content, services, security or privacy practices.

14. Privacy and Cookies

Your use of the website and member area involves the processing of personal data.

By using the website, creating an account or submitting a B2B request, you acknowledge that personal data will be processed as described in those policies, including through Wix and Wix CMS where applicable.

  • customs delays;

  • strikes;

  • war;

  • pandemics;

  • cyber incidents;

  • supplier failures;

  • government measures;

  • platform outages.

The updated Terms will be published on this page with a new “Last updated” date.

Continued use of the website after changes means that you accept the updated Terms.

20. Governing Law and Jurisdiction

For disputes with business customers, the competent court shall be Tribunale di Vicenza, unless mandatory law provides otherwise.
